1) Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Psychport's website, directory, intake/matching forms, accounts, subscriptions, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2) Who We Are (No Medical or Professional Advice)
Psychport is a directory and community platform for mental health professionals and the public. We are not a healthcare provider, clinic, or insurer, and we do not provide medical, psychological, legal, or other professional advice. Any information on the Services is for informational purposes only and is not a substitute for professional advice, diagnosis, or treatment. If you are experiencing an emergency or crisis, call local emergency services immediately.
3) Key Definitions
Provider: a therapist, clinic, or other professional or organization listing services on Psychport.
Client: an individual or organization searching for or contacting Providers via the Services.
User: any person or entity accessing or using the Services (including Providers and Clients).
Content: text, images, video, reviews, profiles, listings, messages, or other material uploaded, posted, or otherwise made available through the Services.
4) Eligibility & Accounts
You must be at least 16 years old to use the Services. To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
5) Provider Responsibilities
Providers represent and warrant that:
- All information in their listings and profiles is true, accurate, and not misleading.
- They hold and maintain all licenses, registrations, permits, insurance, and qualifications required by applicable law and professional bodies to offer their services.
- They will comply with applicable laws and professional codes, including privacy and advertising rules.
- They will promptly update their listing to reflect changes (e.g., availability, fees, credentials).
- They are solely responsible for their interactions, contracts, and outcomes with Clients. Psychport is not a party to any Provider-Client engagement.
Health information & privacy: Providers are solely responsible for complying with health-information and privacy obligations (e.g., PHIPA in Ontario) and for providing their own privacy notices and consent processes to Clients where applicable. Providers must not post personal health information in public areas of the Services.
6) Client Responsibilities
Clients are responsible for evaluating any Provider and for exercising independent judgment. Psychport does not endorse, screen, or guarantee any Provider, their credentials, or outcomes. Communications with Providers via the Services do not create a Provider-Client relationship with Psychport.
7) Content & License
7.1 Your Content
You retain ownership of your Content. By submitting Content to the Services, you grant Psychport a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, perform, distribute, and create derivatives of your Content solely for operating, improving, marketing, and providing the Services (including promotion of Provider profiles and search results). You represent that you have all rights necessary to grant this license.
7.2 Prohibited Content
You agree not to upload, post, or transmit Content that is illegal; false or misleading; defamatory; pornographic or exploitative; discriminatory or hateful; infringing; malware or spyware; or that violates privacy, publicity, or professional rules. Do not include personal health information in public areas.
7.3 Reviews & Feedback
User reviews must reflect honest, first-hand experiences and comply with professional advertising rules. Psychport may moderate, refuse, or remove Content at any time, but we are not obligated to do so. You grant us a perpetual license to use feedback and suggestions without restriction or compensation.
8) Acceptable Use
You will not:
- misuse, disrupt, or overload the Services;
- copy, scrape, or harvest data except as permitted by robots.txt or API terms we provide;
- reverse engineer or circumvent any security or access control;
- use the Services for spam or unsolicited marketing;
- impersonate others; or
- use the Services for emergency triage, crisis support, or time-sensitive care.
9) Subscriptions, Trials, and Payments (Providers)
Certain features for Providers are paid. By starting a subscription, you authorize Psychport (and our payment processor) to charge the applicable fees, plus taxes, on a recurring basis until you cancel.
Free trials & promos:
If offered, trials convert to a paid plan at the end of the trial unless canceled before expiry. One trial per organization unless we agree otherwise. Promo codes are non-transferable and may not be combined.
Auto-renewal:
Plans renew automatically at the then-current price unless canceled.
Cancellation:
You may cancel anytime effective at the end of your current billing period; access continues until then.
Refunds:
Fees are non-refundable except where required by law or as expressly stated.
Price changes:
We may change pricing with reasonable notice; changes take effect at your next renewal.
Payment processing:
Payments are processed by third-party processors (e.g., Stripe). We do not store full card numbers. You authorize us to pass your information to the processor and to receive limited information related to your transactions.
Taxes:
You are responsible for applicable taxes and for providing accurate billing information.
10) Third-Party Services & Links
The Services may include links or integrations with third-party websites, tools, or services (e.g., maps, scheduling, video platforms, identity verification, payment processors). We are not responsible for third-party content, policies, or practices. Your use of any third-party service is at your own risk and subject to that service's terms and policies.
11) Privacy
Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms. By using the Services, you consent to those practices.
12) No Guarantee; Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSYCHPORT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT GUARANTEE ANY MATCHES, LEADS, BOOKINGS, OUTCOMES, OR RESULTS.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSYCHPORT AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
SUBJECT TO APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED (A) THE AMOUNT YOU PAID TO PSYCHPORT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (FOR PAID PROVIDERS), OR (B) CAD $100 (FOR ALL OTHER USERS).
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14) Indemnification
You agree to defend, indemnify, and hold harmless Psychport and its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) for Providers, your services, listings, or interactions with Clients.
15) Service Changes; Availability; Beta Features
We may modify, suspend, or discontinue any part of the Services at any time. From time to time we may offer beta or experimental features; you use these at your own risk and agree that they are provided without warranties and may be withdrawn.
16) Termination
You may stop using the Services at any time. We may suspend or terminate your access immediately if we believe you have violated these Terms, pose a security or legal risk, or if required by law. Upon termination: (a) your right to use the Services ceases; (b) we may deactivate or delete your account and Content, subject to our legal obligations and retention policies; and (c) Sections that by their nature should survive (e.g., 7–14, 18–22) will survive.
17) Intellectual Property
The Services, including all software, interfaces, features, designs, compilations, logos, and trademarks (collectively, "Psychport Materials"), are owned by Psychport or its licensors and are protected by law. Except for the limited rights expressly granted to you in these Terms, no rights are granted by implication or otherwise. You will not use our name, logo, or trademarks without our prior written consent.
18) Copyright Complaints
If you believe Content infringes your copyright, contact us at info@psychport.ca with: (a) your contact details; (b) identification of the work claimed to be infringed; (c) identification of the material that is claimed to be infringing and its location; (d) a statement that you have a good-faith belief that use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are the rights holder or authorized to act.
19) Electronic Communications; Notices
You consent to receive communications from us electronically (e.g., email, in-product messages). Legal notices to Psychport must be sent to info@psychport.ca and, if required, to our mailing address posted on the website. We may provide notices by email or by posting within the Services.
20) Governing Law; Venue; Waivers
These Terms and any dispute or claim arising out of or related to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties irrevocably attorn to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, for all disputes not subject to mandatory arbitration or other mandatory forums under applicable law.
To the extent permitted by law, each party waives any right to a jury trial and agrees that claims will be brought only in an individual capacity and not as a class or representative action.
21) Force Majeure
We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disorder, labor disputes, government action, Internet or telecommunications failures, or third-party service interruptions.
22) Changes to These Terms
We may update these Terms from time to time. The effective date will change when updates are posted. If changes are material, we will provide reasonable notice (e.g., by email or a banner). Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
23) Miscellaneous
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No Waiver: A failure to enforce a provision is not a waiver of any right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire Agreement: These Terms, along with any order forms and our Privacy Policy, constitute the entire agreement between you and Psychport concerning the Services and supersede prior agreements on the same subject.
- Headings: Headings are for convenience only and do not affect interpretation.
